Terms of Service
These Terms govern your use of HAP.Partners and HAP CheckIn, operated by Alpheric Consultants Private Limited. They cover buying a ticket, attending an event, and the responsibilities each of us carries.
In brief
HAP is a marketplace. Events are run by their Organisers, and each Organiser’s own event terms apply alongside these. A ticket admits one entry, once. All sales are final except in the situations set out in the Refund & Cancellation Policy — chiefly, where an event is cancelled.

1.About these Terms#
- These Terms of Service (the “Terms”) are a binding agreement between you and Alpheric Consultants Private Limited, a company incorporated in India under CIN U85500UP2023PTC187437, with its registered office at Alpheric, 6th Floor, Magnus Tower, Sector 73, Noida, Uttar Pradesh 201301, India (“HAP”, “we”, “us”). HAP.Partners and HAP CheckIn are brands operated by that company.
- They govern your access to and use of hap.live, the HAP applications, the HAP CheckIn applications used by organisers, food and beverage sellers, crew and partners, and every related service (together, the “Platform”).
- By browsing the Platform, creating an account, placing an order or presenting a ticket for entry, you accept these Terms. If you do not accept them, do not use the Platform.
- These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made under it. No physical or digital signature is required.
- The Privacy Policy and the Refund & Cancellation Policy form part of these Terms and are incorporated into them by reference.
2.Definitions#
In these Terms, the following words carry the meanings given below.
- Platform
- The HAP.Partners website, the HAP applications and the HAP CheckIn applications, together with the systems behind them.
- Organiser
- The person or business that creates, hosts and is responsible for an Event, and that sells Tickets to it through the Platform.
- Event
- Any event, experience, activity or session listed on the Platform, including events held over more than one day or in defined time slots.
- Event Terms
- The additional terms, conditions, rules and restrictions published by an Organiser for a specific Event. See clause 4.
- Buyer
- The person who places an Order and pays for it.
- Attendee
- The person who holds a Ticket and seeks entry to an Event. The Buyer and the Attendee are often, but not always, the same person.
- Order
- A confirmed purchase of one or more Tickets, identified by an order number.
- Ticket
- The right to a single admission to an Event, on the day and in the time slot it names, evidenced by a machine-readable code issued by HAP.
- Seller
- A food, beverage, merchandise or service vendor operating at an Event through HAP CheckIn.
- Crew
- A person authorised by an Organiser to operate entry, scanning or on-ground operations for an Event.
- Partner
- A business working with HAP or an Organiser in a commercial capacity through HAP CheckIn.
- Payment Aggregator
- The Reserve Bank of India-authorised payment aggregator that processes payments made on the Platform.
3.Our role: we are a marketplace, not the event host#
Read this clause before you buy.
HAP does not own, produce, host, stage or control any Event listed on the Platform. Each Event is run by its Organiser. When you buy a Ticket, your contract for attending that Event is with the Organiser. Your contract with HAP is for the Platform: listing, booking, payment collection, issuing the Ticket, and support.
- HAP operates as an intermediary and marketplace within the meaning of the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020.
- The Organiser is solely responsible for the Event: its content, quality, safety, timing, venue, line-up, staffing, permissions, licences, statutory approvals, insurance, and for admitting Attendees.
- Listing information — descriptions, images, timings, venue, line-up, age limits and inclusions — is supplied by the Organiser. We review listings for policy compliance before they go on sale, but we do not independently verify every statement in them and we do not warrant their accuracy.
- HAP collects payment for Tickets on the Organiser’s behalf, as a limited-purpose collection agent. Payment made to HAP through the Platform discharges the Buyer’s payment obligation to the Organiser for that Order.
- Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between HAP and an Organiser, Seller, Crew member or Partner beyond what is expressly stated in clause 3.4.
4.Event terms set by the Organiser also apply#
Two sets of terms apply to every Ticket.
These Terms govern your use of the Platform. In addition, the Event Terms published by the Organiser govern your attendance at that specific Event. By completing an Order you agree to both.
- Organisers may publish additional terms, conditions, rules, house rules and restrictions for their Events. These appear on the Event page, in the Order confirmation, on the Ticket, at the venue, or in a document the Organiser links to. They are binding on the Attendee.
- Event Terms commonly cover matters HAP cannot decide on an Organiser’s behalf, including age limits and identity checks, dress codes, prohibited items, bag policies, re-entry rules, seating and standing arrangements, weather and outdoor conditions, photography and recording, the treatment of latecomers, and conduct at the venue.
- It is your responsibility to read the Event Terms before you buy. We surface them on the Event page where the Organiser has supplied them, but we do not draft them and we are not responsible for their content.
- Order of precedence. Where the Event Terms and these Terms conflict, the following order applies, so that neither document can be used to remove a protection given by the other:
| Subject matter | Which terms govern |
|---|---|
| Attendance, entry, conduct and what happens at the venue | The Event Terms. |
| Booking, payment, the issue and validity of a Ticket, refunds handled by HAP, and your relationship with the Platform | These Terms. |
| Anything an Event Term purports to do that reduces a right you have under these Terms, the Refund & Cancellation Policy, or applicable law | These Terms and applicable law. The conflicting Event Term does not apply to that extent. |
- An Organiser may not, through its Event Terms, deny a refund in a situation where the Refund & Cancellation Policy or applicable law requires one — including where the Event is cancelled.
- An Organiser may impose conditions that are stricter than ours where the law permits it, for example a higher age limit or a stricter identity requirement. Those conditions apply.
5.Eligibility, accounts and guest checkout#
- You must be at least 18 years old and legally capable of entering into a contract under the Indian Contract Act, 1872 to place an Order. A person under 18 may attend an Event only where the Event Terms permit it and, where required, under the supervision of a responsible adult.
- You may buy as a guest without creating an account. Where you do, your Order is reached through a secure link and a one-time password sent to the contact details you gave. Keep that link private: anyone holding it can view the Order and the Tickets on it.
- Where you do create an account, you are responsible for everything done through it. Tell us at [email protected] immediately if you believe it has been used without your permission.
- You must give accurate and current contact details. Tickets, confirmations and cancellation notices are delivered to the email address and mobile number on the Order. We are not responsible for a Ticket that does not reach you because those details were wrong, full, or filtered by your mail provider.
- One person may hold one account. Creating accounts in bulk, or on behalf of another person without their authority, is a breach of clause 15.
6.Listings, pricing and taxes#
- All prices are quoted in Indian Rupees (INR) and are set by the Organiser.
- The price shown at the point of payment is the amount that will be debited. Before you pay, the Platform itemises the ticket price, any discount, any platform or convenience fee, and applicable taxes.
- Goods and Services Tax and any other statutory levy is charged at the rate in force on the date of the Order and is shown separately.
- A platform or convenience fee may be charged for the booking service. Where it applies, it is disclosed before payment. Its treatment on a refund is set out in the Refund & Cancellation Policy.
- Prices, discounts, coupons and availability may change at any time before an Order is confirmed. A change after your Order is confirmed does not affect that Order in either direction: we will not ask you for more, and a later price drop does not entitle you to the difference.
- Where an Event runs across more than one day, or in defined time slots, each Ticket is valid only for the day and slot it names. Prices may differ between days and slots.
- An obvious pricing error — a price so far below the intended price that no reasonable person would take it as genuine — does not create a binding contract. Where we cancel an Order for that reason, we refund the amount paid in full. We do not use this clause to escape a price we simply regret.
7.Placing an Order#
- Selecting Tickets does not reserve them. When you proceed to payment, the Tickets are held for you for a short period — normally ten minutes — so that you can complete payment. If payment is not completed in that window, the hold is released and the Tickets return to sale.
- A listing is an invitation to offer. Your submission of an Order is the offer. A contract is formed only when payment is confirmed by the Payment Aggregator and we issue an Order confirmation.
- We may decline or cancel an Order before Tickets are issued where the Event is sold out or withdrawn, where the Order appears fraudulent or in breach of clause 15, where a limit per person has been exceeded, or where a pricing error under clause 6.7 applies. Any amount already debited is refunded in full.
- Limits on the number of Tickets per Order or per person may apply, and are shown on the Event page. Orders placed to circumvent a limit — across multiple accounts, cards or contact details — may be cancelled without refund of the platform fee.
8.Payments#
- Payments are processed by an RBI-authorised Payment Aggregator. HAP does not collect, see or store your full card number, CVV, UPI PIN, net-banking credentials or any other payment authentication data. Those are handled inside the Payment Aggregator’s own environment.
- Only our servers decide whether a payment succeeded. A message on your screen, a bank SMS, or the closing of a payment window is not confirmation. Your Order is confirmed when we have verified the payment with the Payment Aggregator and issued your Ticket.
- Where money has left your account but the Order still shows as pending, do not pay again. We re-check every pending Order against the Payment Aggregator. If the payment did in fact succeed, the Order completes on its own and the Ticket is issued. If it did not, the amount is either never captured or is returned by your bank, ordinarily within five to seven working days.
- A payment may be declined by your bank, card network or the Payment Aggregator for reasons outside our control. Where the reason is given to us, we show it to you. We are not liable for a declined payment or for a Ticket that sells out while a payment is being retried.
- Where a duplicate payment is made for the same Order, the duplicate is refunded to the original payment method. See the Refund & Cancellation Policy.
- Invoices are issued in the name of Alpheric Consultants Private Limited for the platform services it supplies, and by the Organiser for the Ticket where the Organiser is the supplier of record.
9.Your Ticket#
- A Ticket carries a cryptographically signed code. It is the property of HAP and the Organiser and is a revocable licence to attend, not an assignable right.
- A Ticket admits once. The code is accepted the first time it is scanned and refused afterwards, at every gate, including where entry points are offline. Where a Ticket admits a group, it admits that group once, together.
- Sharing a Ticket is not transferring it. Sending a copy to another person gives them a copy of the same code. Whoever presents it first is admitted; everyone after is refused. We are not responsible for the consequences of a Ticket shared with someone who then uses it.
- Do not publish a Ticket, its code or its image anywhere public. A code that has been published may be used by a stranger, and we cannot reverse an admission that has already happened.
- Tickets may not be resold, offered for resale, auctioned, bundled or used for advertising, promotion or any other commercial purpose without our prior written consent and that of the Organiser. A Ticket resold in breach of this clause may be cancelled without refund, and the holder refused entry.
- Buy only from the Platform or a channel the Organiser has authorised in writing. We cannot verify, support, replace or refund a Ticket obtained anywhere else, and a code bought from a third party may already have been used.
- Where a Ticket names an Attendee, the Organiser may require identity proof matching that name at entry. Where the Event Terms permit a name change, it is made through the Organiser.
10.Entry and conduct at the Event#
- Admission is subject to these Terms, the Event Terms, the venue’s rules, and the law. The Organiser and the venue reserve the right of admission.
- You may be required to present the Ticket in a scannable form, proof of age or identity, and to submit to a security check, a bag search, or a screening required by the venue or by law.
- The Organiser or venue may refuse entry to, or remove, a person who behaves in a way that is unlawful, unsafe, abusive, discriminatory, or disruptive to others, or who is intoxicated, or who breaches the Event Terms. No refund is due in those circumstances.
- Bring nothing prohibited by the Event Terms, the venue or the law. Prohibited items may be confiscated and are not our responsibility.
- Events may involve loud sound, strobe and other lighting effects, special effects, crowds, standing for long periods, physical activity and outdoor conditions. Attend at your own risk and follow the instructions of Crew, the venue and the emergency services. Tell the Organiser in advance of any accessibility requirement or medical condition that affects your attendance.
- Events may be photographed, filmed or recorded. By attending, you accept that your image or voice may be captured and used by the Organiser for coverage and promotion, to the extent the Event Terms and applicable law allow.
- The published start time is when the Event begins, not when entry closes. Arrive within the entry window in the Event Terms. Latecomers may be admitted late, at a break, or not at all, at the Organiser’s discretion, and no refund is due for a part of an Event missed.
11.Changes, postponement and cancellation of an Event#
- An Organiser may change an Event’s line-up, running order, timings, seating, venue or format. Not every change entitles you to a refund; a material change does. What counts as material, and what follows from it, is set out in the Refund & Cancellation Policy.
- Where an Event is cancelled or rescheduled, we notify you at the contact details on your Order as soon as the Organiser informs us. We are dependent on the Organiser for that information and for its timing.
- Where an Event is cancelled, you are entitled to a refund under the Refund & Cancellation Policy, regardless of anything to the contrary in the Event Terms.
- HAP may withdraw an Event from sale where the Organiser is in breach of these Terms, where a required licence or permission is absent or withdrawn, where there is a credible safety or fraud concern, or where the law or a competent authority requires it.
12.HAP CheckIn — additional terms for Organisers#
This clause applies where you use HAP CheckIn to list and sell an Event. It is in addition to the rest of these Terms and to any separate written agreement with HAP, which prevails where it conflicts with this clause.
- Authority and compliance. You warrant that you have the right to stage the Event and to sell Tickets to it, and that you hold every licence, permission, clearance and insurance required — including venue permissions, police and municipal approvals, fire and safety clearances, music and performance licences, and food, beverage and liquor licences where applicable. You will produce evidence on request.
- Listing accuracy. Everything you publish must be accurate and not misleading, and you must have the right to use every image, video, logo, mark and description you upload. You are responsible for your Event Terms, which must comply with applicable law and must not conflict with clause 4.5.
- Moderation. Events are reviewed before going on sale. We may reject, edit for policy compliance, suspend or remove a listing, and we may suspend an account, where these Terms, our content policy or the law require it. Where a listing is rejected we tell you why.
- Commission and fees. HAP charges commission on Ticket sales at the rate agreed with you, plus any agreed fixed fee and applicable taxes. The rate applied to an Order is the rate in force when that Order is paid; changing a rate never re-prices Orders already taken.
- Settlement. Amounts collected for your Events, less commission, fees, taxes, refunds, chargebacks and any amount you owe us, are settled to your registered bank account on the agreed cycle. Settlement is subject to the Payment Aggregator releasing funds, to your KYC being complete and current, and to a reserve we may hold against expected refunds and chargebacks.
- Cancellation is at your cost. Where you cancel or materially change an Event, refunds to Buyers are your financial responsibility. You authorise us to recover those refunds, together with associated payment-processing and chargeback costs, by set-off against amounts otherwise due to you, from any reserve held, and by direct recovery from you where those are insufficient. Commission and platform fees already earned are not refundable to you.
- Attendee data. Personal data of Buyers and Attendees is made available to you solely to run your Event. You are an independent data fiduciary in respect of that data and must comply with the Digital Personal Data Protection Act, 2023. You must not use it for unrelated marketing, sell it, share it beyond your Event operations, or retain it longer than your lawful purpose requires. Misuse is grounds for immediate suspension.
- Taxes. You are responsible for your own tax obligations on Ticket revenue, including GST registration, invoicing, collection and remittance where you are the supplier of record. Where we are required to collect tax at source or deduct tax on payments to you, we do so and report it.
- Crew, Sellers and Partners. You are responsible for the people you authorise at your Event, for the devices you issue them, for revoking access when it is no longer needed, and for the conduct of the Sellers and Partners you engage.
- Indemnity. You indemnify HAP against every claim, demand, loss, penalty and cost arising from your Event, your listings, your Event Terms, your breach of these Terms or of the law, and any injury, death or damage occurring at your Event.
13.HAP CheckIn — Sellers, Crew and Partners#
- Sellers. Food, beverage, merchandise and service vendors operating at an Event are responsible for their own licences, registrations under the Food Safety and Standards Act, 2006 where applicable, hygiene and safety standards, pricing, invoicing, taxes and the quality and safety of what they sell. HAP does not supply, prepare, inspect or warrant those goods and services.
- Crew. Crew access is granted for a named Event, for a defined period, by the Organiser. Crew must use their device and credentials only for that Event, must not share them, must not admit a person without a valid Ticket, and must report a lost or stolen device immediately. Manual admissions are recorded and reviewable.
- Partners. Partner arrangements are governed by the separate written agreement between HAP and the Partner. This clause does not create a right to use HAP’s brand, marks or data outside that agreement.
- Access to HAP CheckIn may be suspended or withdrawn at any time where these Terms are breached, where an engagement ends, or where there is a credible safety, fraud or data-protection concern.
14.Acceptable use#
You must not, and must not attempt to:
- use the Platform for anything unlawful, or in breach of any applicable law or regulation;
- use a bot, script, scraper, automated agent or bulk method to browse, search, hold inventory or place Orders;
- buy Tickets for resale, or in excess of a published limit, including through multiple accounts, cards, devices or contact details;
- copy, forge, alter, decompile or reverse engineer a Ticket or its code, or present one you know to be invalid;
- use stolen, borrowed or unauthorised payment credentials, or impersonate another person;
- raise a chargeback in bad faith, or dispute a payment for a Ticket you have used;
- probe, scan, penetration-test, overload or interfere with the Platform, or circumvent any security, rate limit or access control;
- access data belonging to another user, another Organiser or another tenant, or attempt to;
- scrape, harvest, index or resell Platform content or personal data, or use it to train a model, without our written consent;
- upload anything unlawful, defamatory, obscene, hateful, infringing, deceptive or malicious;
- misrepresent an Event, an association with HAP, or your authority to act for an Organiser.
We may investigate suspected breaches, and may suspend an account, cancel an Order, void a Ticket, refuse entry, withhold settlement and report the matter to the police or another authority.
15.Content, moderation and intellectual property#
- The Platform, its software, design, text, graphics, and the HAP and HAP CheckIn names and logos are owned by HAP or its licensors. Nothing in these Terms transfers any of it to you. You may use the Platform only as these Terms allow.
- Content you upload remains yours. You grant HAP a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display, and publish it for the purpose of operating and promoting the Platform and the Event it relates to. The licence ends when you remove the content, except for copies retained in backups or required by law.
- You warrant that you own or are licensed to use everything you upload, and that it does not infringe anyone’s rights.
- To report content that infringes your rights or breaches these Terms, write to [email protected] with the material complained of, the location on the Platform, the right relied on, and your contact details. Complaints are acknowledged within 24 hours and disposed of within 15 days, in line with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
- Organiser text is displayed as text. We do not render markup submitted by Organisers, and we restrict what may be uploaded, in order to protect other users.
16.Communications#
- Transactional messages — Order confirmations, Tickets, one-time passwords, reschedule and cancellation notices, and refund updates — are part of the service. You cannot opt out of them while you hold an active Order, because they carry information you need.
- Marketing messages are sent only with your consent, and every one carries a way to withdraw it. Withdrawing consent does not stop transactional messages.
- Messages are sent to the email address and mobile number on your Order or account. Keep them current.
17.Disclaimers#
- The Platform is provided on an “as is” and “as available” basis. We do not warrant that it will be uninterrupted, error-free, or available at any particular moment, and we may suspend it for maintenance.
- We give no warranty about an Event: that it will take place, that it will be as described, that a named performer will appear, or that it will meet your expectations. Those are the Organiser’s responsibility.
- The offline entry system is designed to keep working without a network. Nonetheless, entry depends on venue conditions, devices and staffing that are not wholly within our control.
- Nothing in this clause excludes a liability that cannot be excluded under applicable law, including for death or personal injury caused by negligence, or for fraud.
18.Limitation of liability#
- Subject to clause 19.3, HAP’s total liability to you in connection with an Order, however arising, is limited to the amount you paid to HAP for that Order.
- We are not liable for indirect or consequential loss, or for loss of profit, revenue, opportunity, data, goodwill, or for travel, accommodation or other costs incurred in connection with attending an Event.
- Nothing in these Terms limits liability that cannot lawfully be limited, or affects your rights as a consumer under the Consumer Protection Act, 2019.
19.Indemnity#
You will indemnify and hold harmless Alpheric Consultants Private Limited, its directors, officers, employees and agents against every claim, loss, liability, penalty and reasonable cost arising from your breach of these Terms or of the Event Terms, your misuse of the Platform, your infringement of a third party’s rights, or your conduct at an Event.
20.Suspension and termination#
- You may stop using the Platform at any time, and may ask us to close your account. Closing an account does not cancel Orders already placed, and does not remove records we are required to keep.
- We may suspend or terminate your access, with notice where practicable and without it where the circumstances are urgent, for breach of these Terms, suspected fraud, a risk to other users, or a legal requirement.
- Clauses that by their nature should survive termination — including 17 to 20, 23, 24 and 26 — do so.
21.Force majeure#
Neither party is liable for a failure or delay caused by an event beyond its reasonable control, including an act of God, natural disaster, extreme weather, epidemic or pandemic, war, terrorism, civil unrest, strike, fire, flood, failure of power or telecommunications, government or regulatory action, or an order of a competent authority. Where an Event is cancelled for such a reason, the Refund & Cancellation Policy governs what happens to your Order.
22.Grievance redressal#
Most problems are resolved fastest by writing to [email protected] with your order number. If that does not resolve it, escalate to the Grievance Officer appointed under the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

Complaints about the handling of personal data go to the Data Protection Contact instead — see the Privacy Policy.
23.Governing law and disputes#
- These Terms are governed by the laws of India.
- Subject to clause 24.3, the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh have exclusive jurisdiction over any dispute arising out of them.
- Nothing in this clause takes away your right, as a consumer, to bring a complaint before a Consumer Disputes Redressal Commission having jurisdiction under the Consumer Protection Act, 2019.
24.Changes to these Terms#
We may amend these Terms. The version in force is always published at hap.live/legal/terms, with its version number and effective date. Where a change materially affects your rights, we give notice before it takes effect. The Terms that govern an Order are those in force when the Order was placed; continuing to use the Platform after a change takes effect means you accept the amended Terms for everything after it.
25.General#
- Entire agreement. These Terms, together with the Privacy Policy, the Refund & Cancellation Policy and any written agreement signed with HAP, are the whole agreement between us on their subject matter.
- Severability. If a provision is held unenforceable, it is severed and the rest continues in force.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign your rights under these Terms. We may assign ours to an affiliate or in connection with a merger, acquisition or transfer of the business, on notice.
- Notices. Notices to you are sent to the email address on your Order or account. Notices to us go to [email protected] and, where a written notice is required, to the registered office.
- Third parties. No person other than you and HAP has a right to enforce these Terms, except that an Organiser may enforce clauses that expressly benefit it.
